These Terms and Conditions outline the Facilitation Services provided by The Pro Trades (www.theprotrades.com) and supplement any website terms of use applicable to your use of our Website. This Agreement is a legally binding contract between you ("Customer") and The Pro Trades ("we", "us", "our"). It includes crucial details about your legal rights and responsibilities.
Please read these Terms and Conditions carefully. By using our Platform and Facilitation Services and clicking accept when prompted on the Website, you agree to be bound by this Agreement, including the Terms of Use, Privacy Policy, and Cookies Policy.
If you wish to use our Website, you must read and agree to this Agreement. If you do not understand or agree to these terms, do not use our Website or click to accept this Agreement. If using our Facilitation Services on behalf of a business or legal entity, ensure you have the authority to agree to these Terms on their behalf.

1. Definitions and Interpretation
1.1. In these Terms and Conditions, the following terms have the meanings specified:
"The Pro Trades" refers to the services provided under this Agreement.
"Customer"/"you" refers to businesses and consumers using the Website to find a Professional for their needs.
"Customer Contract" means the contract between the Professional and the Customer for Services.
"Facilitation Services" refer to identifying relevant Professionals and providing their contact details as per clause 2.5.
"Professional" means the person offering their services to Customers.
"Services" refer to the professional services provided by a Professional to a Customer.
"Website" refers to www.theprotrades.com.
2. The Facilitation Services
2.1. The Pro Trades operates the Website to facilitate introductions between potential customers and professionals for various services.
2.2. Customers can search the Website to find professionals. The Website algorithms will identify professionals who may meet the Customer's requirements. Customer requests are referred to as "Requests," and each Request results in us connecting you with potential Professionals.
2.3. By submitting a Request, you agree to these Terms and Conditions. An agreement will be formed between you and us for the provision of the Facilitation Services at that point. A separate contract with any Professionals you hire is required.
2.4. Upon submitting your Request, we will verify your contact details and location. Incorrect or non-functional contact details, or a mismatch between the IP address and service location, will result in rejection of your request.
2.5. Verified Requests will provide you with details of up to five Professionals who may meet your criteria. If no suitable Professionals are found, you will be notified and given the option to modify your requirements.
2.6. You can review the information from Professionals and choose whether to engage them. We do not endorse or guarantee that the Professionals will meet your needs. It is your responsibility to verify their suitability before entering into a Customer Contract.
2.7. If you engage a Professional, you will enter into a Customer Contract with them. The Pro Trades is not a party to any Customer Contract and has no responsibility for the Services provided.
2.8. The Pro Trades will link to the Professional's website (if applicable) and provide a review facility for Customers on the Website.
2.9. Reviews must be honest and based on your experience, avoiding offensive content, copyrighted material, unlawful information, or false information. We may remove non-compliant reviews and ban further reviews from you.
2.10. We do not control the content on a Professional's website and accept no liability for it. You must contract directly with the Professional for any Services.
2.11. Facilitation Services are provided to you at no cost.
Important:
The Pro Trades acts only as a facilitator. Any Services provided by a Professional will be under a separate legal contract between you and the Professional. Any issues with the Services must be resolved with the Professional, not The Pro Trades.
3. Ending Our Contract
3.1. You can end your contract with us by stopping the use of Facilitation Services. To close a customer account, contact us via email or phone using the details above.
3.2. Termination of this Agreement does not affect any Customer Contract you have with a Professional.
3.3. We may limit or revoke your access to the Services if you breach this Agreement, provide false information, your actions cause legal liability, are contrary to our interests, or involve illicit activities, or if required by law.
4. Ranking Criteria for Professionals
4.1. When you place a request on the Website, we create a list of Professionals matching your criteria, ranked by an algorithm based on certain factors.
4.2. Higher ranking is given to Professionals who:
Have a complete, updated profile with substantial experience.
Have positive performance and strong reviews.
Respond quickly to Customer requests.
Are highly active on the Website.
5. Data Protection
Please refer to our Privacy Policy and Cookie Policy for information on how your personal data will be used.
6. Liability
6.1. You acknowledge that the contract for Services is between you and the Professional. The Pro Trades does not supervise, direct, control, or monitor Professionals.
6.2. We are not liable for the provision of Services or your interactions with Professionals listed on the Website. Any errors, delays, or misrepresentations are the responsibility of the Professional.
6.3. You are responsible for evaluating the suitability of any Professional and verifying their information.
6.4. Nothing in these Terms limits our liability for:
Death or personal injury due to our negligence.
Fraud or fraudulent misrepresentation.
Any other matter where liability cannot be excluded by law.
6.5. We are not liable for information on third-party websites linked on our Website or any loss or damage from their use.
If you are a consumer:
6.6. Facilitation Services are provided for domestic and private use only. Commercial use is not permitted, and we have no liability for business-related losses.
If you are a business customer:
6.7. We exclude all conditions, warranties, and representations to the maximum extent permitted by law.
6.8. We are not liable for any loss or damage arising under or in connection with the Facilitation Services, including:
Loss of profits, sales, business, or revenue.
Business interruption.
Loss of anticipated savings.
Loss of business opportunity, goodwill, or reputation.
Any indirect or consequential loss or damage.
6.9. By entering into this Agreement, you release us from claims related to disputes with Professionals. This does not apply to claims that we failed to meet our obligations under the Terms of Use.
6.10. You agree to indemnify and hold harmless The Pro Trades and its representatives against claims, losses, damages, and costs arising from your use of the Facilitation Services.
7. General Provisions
7.1. We may update these Terms and Conditions from time to time. Check the "Last updated" date for changes, as they are binding. Continued use of the Website indicates acceptance of revised Terms.
7.2. We may transfer our rights and obligations under these Terms to another organization.
7.3. You need our consent to transfer your rights under these Terms to someone else. Unapproved transfers are invalid.
7.4. This Agreement does not grant rights to any third parties.
7.5. If any part of this Agreement is held invalid, the remaining provisions continue in effect.
7.6. Delay in enforcing these Terms does not waive our right to do so later.
If you are a consumer:
7.7. These Terms are governed by English law, and you can bring legal proceedings in the English courts. Scottish and Northern Irish residents may also bring proceedings in their local courts.
If you are a business customer:
7.8. These Terms are governed by the law of England and Wales, and any disputes will be resolved exclusively in the courts of England and Wales.
7.9. We may record video and/or phone calls for quality assurance. By agreeing to these Terms, you consent to this recording. You may revoke consent for a specific call by notifying us.
7.10. Applicable laws require some communications to be in writing. By using the Website or our Facilitation Services, you agree to electronic communication. All contracts, notices, and other communications provided electronically comply with legal requirements for written communication. This does not affect your statutory rights.
